ByHeart Referral Program Terms

Our Referral Program is governed by these program terms (the “Program Terms”), which form a legally binding agreement between you and ByHeart, and which form part of, and are hereby incorporated by reference into, the ByHeart Terms of Service. Capitalized terms not defined herein, have the meaning set forth in the Terms of Service.
By participating in our Referral Program, you indicate your assent to be bound by these Program Terms. If you do not agree to these Program Terms, you are not eligible to participate in our Program.
Eligibility. ByHeart allows existing customers (“Existing Customers”) who hold an active ByHeart account to refer new customers who (i) have not made a purchase and (ii) do not have an existing ByHeart account (“Referred Customers”) to ByHeart (collectively, the “Program”). The Program begins today and is scheduled to end on December 31, 2024 (the “Program Term”). Officers, directors and employees of ByHeart, and each of their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, consultants, contractors, or other service providers, and the immediate family members and/or those residing in the same household of each are ineligible to participate in the Program. Health care providers (HCPs) are not eligible to refer current patients under this Program.
1. Referral Process and Benefit for Referred Customers. To participate in the Program, Existing Customers must first select what type of reward they would like to receive. Existing Customers may select either: (i) one (1) promotional credit with a value of Forty Dollars ($40.00) to use on ByHeart’s website (the “ByHeart Credit”) or (ii) one (1) gift card preloaded with a value Forty Dollars from one of the available merchants (the “Gift Card”, and the “ByHeart Credit”, as applicable, are collectively referred to herein as the “Reward”). The merchants where Gift Cards are available may vary and ByHeart makes no guarantee about the continued availability of any Gift Card merchant through the Program. Existing Customers can refer Referred Customers by sharing a unique referral code and/or URL (collectively, the “Referral Link”) which the Existing Customer can access via the email the Existing Customer receives from ByHeart with a Referred Customer.
During the Program Term, Referred Customers must use the Referral Link to take the following actions in a single transaction (the “Required Actions”): (i) use the Referral Link to visit the landing page and follow the steps to obtain a referral code (the “Referral Code”); (ii) create a new ByHeart account (an “Account”); and (ii) make a “Qualifying Purchase” (as defined below) while logged into their Account using the Referral Code. As used in these Program Terms, a “Qualifying Purchase” means the purchase of a recurring subscription (“Feeding Plan”) to receive four (4), six (6), eight (8) or twelve (12) cans of ByHeart Formula.
2. The Referral Code will provide the Referred Customer who takes the Required Actions during the Program Term a discount of Ten Dollars ($10.00) off of the monthly price of their Feeding Plan (the “Referred Discount”) for up to twelve (12) consecutive months (the “Referred Discount Period”) while the Referred Customer maintains the active Feeding Plan. If a Referred Customer pauses, cancels, or modifies their Feeding Plan during the Referred Discount Period, they will lose the Referred Discount. Limit one (1) Referred Discount per Referred Customer. Rewards for Existing Customers. Existing Customers will be entitled to receive one (1) Reward, as selected by the Existing Customer, for each Referred Customer who takes the Required Actions during the Program Term using the Existing Customer’s Referral Link. The Reward will be delivered to the Existing Customer’s email after each Referred Customer completes the Required Actions through the Existing Customer’s Referral Link. The ByHeart Credits can be used on subsequent purchases made by the Existing Customer through the ByHeart Website. ByHeart Credits expire on December 31, 2024 if not used. ByHeart Credits are only valid on purchases of ByHeart formula made through the ByHeart website and are not valid on orders placed on any third-party website or through any third party commerce channel. Gift Cards may be subject to additional terms and conditions that the issuer imposes on its gift cards, which may be accessible online at the links that are displayed at the time of delivery of the Gift Cards.
3. Other Terms. Rewards and Referred Discounts are non-assignable and non-transferable and may not be bartered or sold. Any Rewards or Referred Discounts assigned, transferred, bartered or sold in violation of these Program Terms may be confiscated or cancelled. Rewards and Referred Discounts have no cash value and may not be redeemed for cash. Rewards and Referred Discounts can only be used in accordance with these Program Terms. The Referral Link must be used at the time of purchase. ByHeart cannot honor the credit after the time of purchase. The Referral Link is for Existing Customer’s to share with their friends and family only and must not be distributed or sold for any commercial purposes or otherwise publicized for use by the general public or on site where Existing Customer is not the primary owner and operator. ByHeart reserves the right to refuse to honor Referral Links and/or terminate Existing Customer’s eligibility for this Program if ByHeart suspects abuse (such as posting the Referral Link to deal or coupon aggregator sites, review sites or videos, etc.). ByHeart reserves the right to modify, change, update, terminate or restrict the applicability of this Program at any time in its sole discretion and without further notice. If ByHeart decides in its sole discretion to discontinue the Program before the end of the Program Term, Referred Customers will have an amount of time deemed reasonable by ByHeart in its sole discretion from the date Program termination is announced to use their remaining credits. Any credits remaining in a Referred Customer’s account at the time of termination will be forfeited and no compensation will be provided. Nothing contained in these Program Terms shall limit ByHeart in its exercise of any legal or equitable rights or remedies. If the Existing Customer’s account terminates for any reason or is suspended, the Referral Link will automatically expire. ByHeart reserves all of its rights under the ByHeart Terms of Service and all other applicable ByHeart policies. Referral Links are non-transferable, have no cash value, and are void where prohibited.
